International Anti-Corruption Policy

QuarterNorth Energy LLC and its subsidiaries (collectively “QuarterNorth”) are committed to operating in accordance with the highest ethical and professional standards. The long-term success of QuarterNorth depends on our ability to explore and optimize oil and gas opportunities while being responsible corporate citizens. Accordingly, QuarterNorth will conduct business in compliance with all applicable laws and regulations, including the U.S. Foreign Corrupt Practices Act (“FCPA”), U.K. Bribery Act 2010 (“UK Bribery Act”), and similar anti-bribery and anti-corruption laws and regulations enacted by other countries in which QuarterNorth might conduct business (collectively, “Anti-Corruption Laws”).

QuarterNorth’s International Anti-Corruption Policy establishes requirements that all QuarterNorth officers and employees and any agents, consultants, business partners, and other third parties engaged in international work are expected to comply with, in addition to Anti-Corruption Laws and all other applicable laws and regulations, whenever they are acting on the QuarterNorth’s behalf.  Employees should read this policy in conjunction with the QuarterNorth Employee Handbook, which sets forth QuarterNorth’s codes of business conduct and other employment-related guidelines, and the rest of the International Compliance Policy, which includes the Gifts and Hospitality Policy and Third-Party Due Diligence and Monitoring Policy.  These policies can be found at the https://secure3.saashr.com/ta/6115078.login?rnd=WGJ QuarterNorth Energy Employee Service Center.
